Acceptance of Terms

By accessing and using the services provided by fusionionex Ltd (registration number C25967), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our beauty client retention strategy services or access our website. These terms constitute a legally binding agreement between you and fusionionex.

Service Description

fusionionex provides beauty client retention strategy frameworks and related consulting services to salons, spas, and beauty businesses. Our services include strategic planning, client analytics, communication frameworks, performance tracking, staff training, and technology integration solutions designed to improve client retention rates and business growth.

User Obligations

You agree to use our services in compliance with all applicable laws and regulations. You must provide accurate and complete information when engaging our services and maintain the confidentiality of any login credentials. You are responsible for all activities that occur under your account and must notify us immediately of any unauthorised use. You agree not to misuse our services, interfere with our systems, or engage in any activity that could harm our business or other users.

Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed, payments are due within 30 days of invoice date. Late payments may incur additional charges. We reserve the right to suspend services for non-payment. All fees are non-refundable unless specifically stated in your service agreement.

Intellectual Property

All content, materials, frameworks, methodologies, and intellectual property provided by fusionionex remain our exclusive property. This includes but is not limited to our retention strategy frameworks, training materials, software tools, and proprietary methodologies. You may not reproduce, distribute, modify, or create derivative works without our express written consent. Any improvements or modifications to our frameworks developed during our engagement remain our intellectual property.

Confidentiality

We maintain strict confidentiality regarding your business information and client data. Similarly, you agree to maintain confidentiality regarding our proprietary methods, strategies, and business information disclosed during our engagement. This confidentiality obligation survives termination of our services.

Limitation of Liability

To the maximum extent permitted by law, fusionionex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim. We do not guarantee specific business results or client retention improvements, as outcomes depend on various factors beyond our control.

Service Availability

Whilst we strive to provide continuous service availability, we do not guarantee uninterrupted access to our services. We may temporarily suspend services for maintenance, updates, or technical issues. We will provide reasonable notice of planned maintenance when possible.

Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these terms. By using our services, you consent to our data processing practices as described in the Privacy Policy.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Malta. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Malta. If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Termination

Either party may terminate our service agreement with appropriate notice as specified in individual contracts. We reserve the right to terminate services immediately for breach of these terms, non-payment, or other material violations. Upon termination, you must cease use of our proprietary materials and return or destroy any confidential information. Provisions regarding intellectual property, confidentiality, and limitation of liability survive termination.

Modifications to Terms

Your continued use of our services after such changes constitutes acceptance of the modified terms. We recommend reviewing these terms periodically.

Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, strikes, or technical failures of third-party systems.
